Terms and Conditions

These Terms and Conditions are governed by the laws in force in the State of Western Australia and the Developer (Cenzion Group) and the Client (you) submit to the jurisdiction of the Courts of that State.

Client Materials

Any text and image content that is required for the completion of this project (unless otherwise discussed and specified in this document), shall be provided in a suitable electronic format.

Supplied textual content will be used 'as is', unless developer has been engaged to provide content re‐writing services as part of this quotation.

Client Delays

Client has the responsibility to supply materials within two weeks of request.  Failure to comply will result in the submission of a progress claim.
Scope of Work

Scope of work is defined within the Requirements Document submitted before project commencement.  Work will not begin until all parties have agreed on the scope and accepted the proposal in writing. Electronic approval via email will be acceptable.

Scope Changes 

Changes to the scope will be requested in writing.

Scope changes that result in additional work will be the subject of a separate agreement and charged accordingly.


Handover shall occur after completion of successful testing and acceptance by the client.

Maintenance and Technical Support

Any maintenance and technical support supplied post completion of project shall be charged at normal rate unless otherwise specified.

Code Warranty 

The Developer warrants any supplied project code for a period of 30 days. Should an error be discovered, please contact the Developer and work will be done to resolve the issue.  Within the Warranty time frame, corrections for errors that are not a result of Client action are not chargeable.  Errors due to Client use will be chargeable at normal rate.

The warranty becomes null and void should there be any alterations to the code made by a party other than the Developer.

The warranty period commences from the date of handover.
Intellectual Property

The intellectual property for any development remains with the Developer until such time as payment is complete.

Payment Terms

For  any  work  valued  under  and  including  $400  Australian  Dollars (including  GST, if applicable), payment is required in full prior to commencement of the project.  

For work valued over $400 Australian Dollars (including GST, if applicable), a 30% deposit will be paid before the commencement of the project. This deposit is non-refundable. Progress claims will then be made at each of the agreed milestones up to and including project completion.
Upon advice of project completion, the final payment must be received in full before any created materials are supplied.  Requirements for a phased delivery will be considered.  

Unauthorised Use and Program Licenses

The Client will indemnify Developer against all claims and expenses arising from uses for which the Client does not have rights to or authority to use. The Client will be responsible for payment of any special licensing or royalty fees resulting from the use of programs that require such payments.

Limitation of Liability

Client agrees that it shall not hold Developer or its agents or employees liable for any incidental or consequential damages which arise from Developer’s failure to perform any aspect of the project in a timely manner, regardless of whether such failure was caused by intentional or negligent acts or omissions of the Developer or a third party.  Furthermore, the Developer disclaims all implied warranties, including the warranty of merchantability and fitness for a particular use.
Project termination must be advised of in writing. Work stages that have been commenced may be charged at a pro‐rata fee, based on the total cost of the project.

Quotations and all its contents are the copyright of the Developer, and are not to be distributed or forwarded to any other party.
